E-Limo SF — Terms & Conditions

Effective Date: January 6th, 2016

1. Scope of Services

1.1. E-Limo SF provides luxury chauffeured limousine and private transportation services on a pre-arranged basis throughout the San Francisco Bay Area and other destinations as agreed.

1.2. Each booking or Service Agreement will specify the date(s), time(s), route(s), vehicle(s), and applicable pricing.

1.3. All services are subject to availability and operational feasibility. We may substitute a comparable vehicle or adjust routes as reasonably necessary.

 

2. Licensing, Insurance & Compliance

2.1. E-Limo SF operates under all required California permits, licenses, and Transportation Charter-Party (TCP) authority and complies with applicable state and local transportation laws.

2.2. Our fleet is registered, inspected, and insured in compliance with California law. All drivers are licensed, professionally trained, and subject to background and driving record checks.

2.3. The Client agrees not to request or engage in any activity that violates California law or E-Limo SF’s safety policies (e.g., open containers if prohibited, smoking, or use of illegal substances in vehicles).

 

3. Passenger Safety & Conduct

3.1. All vehicles meet applicable California Vehicle Code safety requirements.

3.2. Passengers may be given safety instructions prior to or at the start of service.

3.3. Disruptive, abusive, dangerous, or illegal behavior may result in immediate termination of service without refund. The Client is responsible for any damage caused by themselves or their guests.

3.4. Except for gross negligence or willful misconduct by E-Limo SF, our total liability per contract is limited to the amount paid by the Client for the affected service.

 

4. Reservations, Payments & Cancellations

4.1. Reservations must be made in advance and are confirmed once the required deposit or payment is received.

4.2. Payments are due as specified in the Service Agreement or booking confirmation.

4.3. Cancellation terms, fees, and refund eligibility are outlined in the Service Agreement or confirmation email. Late cancellations or no-shows may be charged in full.

4.4. Any additional stops, overtime, waiting time, or deviations from the agreed-upon itinerary will be billed at the rates outlined in your agreement.

 

5. Term, Renewal & Termination

5.1. Term of Agreement

The term of each Service Agreement is as specified therein (single-use service or multi-trip annual contract).

5.2. Automatic Annual Renewal

Unless either party (or an authorized representative) provides written or electronic notice of non-renewal at least 30 days before the end of the current term, all private transportation contracts will automatically renew for an additional one (1)-year term on the same terms and pricing, unless otherwise agreed in writing.

If payment is made on or after the renewal date, it will be deemed that the Client has elected to continue service for the next annual term. Such payment constitutes express acceptance of renewal under the same terms unless modified by mutual agreement.

5.3. California Automatic Renewal Compliance

In accordance with California’s Automatic Renewal Law (Cal. Bus. & Prof. Code §17600 et seq., including AB 2863 effective July 1 2025), E-Limo SF will:

  • Clearly disclose all automatic renewal terms before contract acceptance.
     

  • Obtain express affirmative consent to the renewal.
     

  • Send a renewal reminder 7–30 days before the renewal date to the Client’s email on file.
     

  • Provide a simple cancellation method via email or online form.
     

5.4. Termination for Breach

Either party may terminate for material breach if not cured within 15 days of written notice. Outstanding balances remain due and enforceable.

5.5. Rate Adjustments & No Month-to-Month Service

Any agreed-upon rate modification or re-negotiation between E-Limo SF and the Client automatically creates a new annual contract effective on the date the new rate is accepted in writing or via payment confirmation.

E-Limo SF does not offer month-to-month service under any circumstances.

Early termination of such contracts requires full payment for the annual rate covering the entire twelve (12)-month term from the date the new rate takes effect. No prorated or partial refunds will be issued for early termination, non-use, or cancellation initiated by the Client.

 

6. Limitation of Liability

6.1. E-Limo SF is not liable for delays or failures caused by events outside our control, including weather, traffic, accidents, mechanical issues, or government actions.

6.2. E-Limo SF is not responsible for indirect or consequential damages such as missed flights or lost business opportunities.

6.3. The Client agrees to indemnify and hold harmless E-Limo SF, its employees, and agents from claims arising out of the Client’s breach or conduct during service.

 

7. Dispute Resolution & Governing Law

7.1. These Terms are governed by the laws of the State of California.

7.2. Any dispute will first be subject to good-faith negotiation. If unresolved, it shall be submitted to binding arbitration in San Francisco County under the rules of the American Arbitration Association (AAA).

7.3. Each party bears its own legal fees unless otherwise awarded by the arbitrator.

 

8. Notice to California Consumers

  • Automatic renewal terms are clearly disclosed prior to acceptance and require consent.
     

  • Renewal reminders will be sent between 7 and 30 days before renewal.
     

  • Payment on or after the renewal date constitutes acceptance of the next annual term.
     

  • Rate adjustments automatically begin a new annual contract; early termination requires full annual payment.
